Terms of Service

These Terms govern your use of TakeFirst and purchases of time-limited surprise food baskets from sellers available through the app.

Plain-language summary: You can browse without an account. An account and verified email are required to pay. Basket contents are a surprise and depend on the seller’s remaining food. Pay in the app, collect during the stated window, and contact us promptly if the seller cancels, the order is unavailable, or there is a quality problem.

These Terms form an agreement between you and Take first, MB regarding the TakeFirst mobile application for iOS and Android, the website, the marketplace, and related services. By creating an account, accepting the Terms in the app, or placing an order, you agree to the version presented to you at that time.

You must be at least 18 years old and legally capable of entering a contract. If you use TakeFirst on behalf of another person, you confirm that you are authorised to do so.

2. How the marketplace works

TakeFirst connects buyers with independent cafes, bakeries, restaurants, shops, and other food businesses (“Sellers”) offering surplus food in surprise baskets. The Seller shown in the listing prepares and supplies the food and is responsible for its legality, description, quality, food safety, allergen information, and handover.

TakeFirst provides the marketplace, reservation, payment-facilitation, notification, and support functionality. When an order is confirmed, the contract for the food basket is between you and the Seller identified in the listing. TakeFirst may collect payment for the Seller and help resolve issues. Nothing in these Terms limits any responsibility that TakeFirst or a Seller cannot exclude under mandatory law.

TakeFirst is currently intended for buyers and pickups in Lithuania. Available cities, Sellers, and pickup areas may change.

3. Accounts and security

  • You may browse available baskets without signing in. A registered, email-verified buyer account is required to reserve and pay.
  • You must provide accurate and current information and keep your login details confidential.
  • You are responsible for activity performed through your account unless it results from TakeFirst’s failure to apply reasonable security or another cause for which you are not responsible.
  • Tell us immediately at info@takefirst.lt if you suspect unauthorised access.
  • You may update your profile in the app and delete your account through Profile > Settings > Account > Delete account.

4. Surprise baskets and listings

A surprise basket contains unsold food selected by the Seller based on what remains available near the pickup time. Images, examples, category labels, descriptions, and original-value estimates illustrate the likely type or value of an offer; they do not guarantee exact products, brands, portions, ingredients, or appearance.

The listing will display the Seller, pickup branch, pickup date and window, available quantity, and total price known at checkout. Sellers must keep information reasonably accurate, but availability can change quickly and an obvious technical or pricing error may be corrected before fulfilment. If an accepted order cannot be fulfilled, the cancellation and refund rules below apply.

5. Reservations, orders, prices, and payment

  1. Select a basket and quantity. Starting checkout may create a short reservation while you complete payment.
  2. If payment is not completed before the displayed reservation expires, the reservation may be released automatically and the basket returned to availability.
  3. Before confirming payment, review the Seller, branch, pickup time, quantity, and final price. The final amount shown at checkout includes applicable fees and taxes where required.
  4. Payments are processed securely by Stripe using the payment method you select, which may include an eligible card, Apple Pay on iOS, or Google Pay on Android. Stripe’s terms and privacy information may also apply.
  5. An order is confirmed only after successful payment and confirmation in TakeFirst. A temporary bank authorisation or pending card entry does not by itself mean the order is confirmed.

All prices are in euros unless clearly stated otherwise. You authorise the displayed final amount to be charged. You must use a payment method you are authorised to use and must not initiate an improper chargeback.

6. Pickup

  • Collect from the stated branch during the stated pickup window. Opening hours outside that window do not extend it.
  • Show the order confirmation or pickup code in the app when requested. Keep pickup codes private until handover.
  • Check that the basket has been handed over before allowing the order to be marked collected.
  • If you expect to be late, contact the Seller where contact details are available. Neither the Seller nor TakeFirst can guarantee handover outside the pickup window.
  • If you do not collect on time, the food may be disposed of or otherwise handled by the Seller and you will normally not be entitled to a refund, except where mandatory law requires otherwise or the failure was caused by the Seller or TakeFirst.

7. Cancellations, problems, and refunds

If the Seller or TakeFirst cancels

If a paid basket is unavailable, the branch is closed, or the Seller or TakeFirst cannot fulfil the confirmed order, the affected payment will be refunded. Refund timing depends on Stripe, your bank, and the payment method and may take several business days to appear.

If you want to cancel

Because surprise baskets contain food that may rapidly deteriorate or expire and are reserved for a specific pickup window, statutory withdrawal and cancellation rights may be limited where the law permits. After payment, buyer-requested cancellation is therefore not guaranteed. Contact info@takefirst.lt as soon as possible; we will assess whether cancellation is operationally possible and whether a refund is due.

If something is wrong

If the basket is missing, materially different from the listing category, unsafe, spoiled, or otherwise non-conforming, tell the Seller at pickup where possible and contact TakeFirst promptly—preferably within 24 hours—at info@takefirst.lt. Include your order reference, an explanation, and clear photographs where relevant. The 24-hour request helps us investigate perishable goods but does not remove mandatory consumer rights.

Depending on the circumstances and applicable law, the remedy may include replacement, a partial refund, or a full refund. We may ask the Seller for information and may refuse claims that are fraudulent, unsupported, unrelated to non-conformity, or caused after handover by improper storage or handling.

8. Allergens, dietary needs, and food safety

Important: basket contents change and may not be known when you order. Do not rely on photographs, category names, or prior baskets as complete ingredient or allergen information.

If you have an allergy, intolerance, religious restriction, medical diet, or other dietary requirement, contact or ask the Seller directly before consuming the food. Do not consume an item if you cannot obtain adequate information or if packaging appears damaged, the food appears unsafe, or storage instructions have not been followed.

After pickup, transport, refrigerate, reheat, and consume food according to the Seller’s instructions and safe food-handling practices. Report suspected food-safety issues immediately to the Seller, TakeFirst, and any competent authority where appropriate.

9. Acceptable use and intellectual property

You must not misuse TakeFirst, interfere with security or availability, scrape or copy the service at scale, create false accounts, manipulate inventory or payments, harass Sellers or staff, submit fraudulent claims, infringe another person’s rights, or use the service unlawfully.

The TakeFirst application, branding, interface, and original content are owned by Take first, MB or its licensors. Seller names, logos, photographs, and listing content belong to their respective owners. We grant you a limited, revocable, non-transferable right to use TakeFirst for personal, non-commercial purchasing in accordance with these Terms.

10. Availability and responsibility

We aim to keep TakeFirst accurate and available, but do not promise uninterrupted operation or that every listed basket will remain available. Maintenance, network failures, payment-service interruptions, device settings, force-majeure events, and Seller actions may affect the service.

To the maximum extent permitted by law, TakeFirst is not responsible for indirect or unforeseeable losses, business losses suffered by a consumer using the service for private purposes, or loss caused solely by your breach of these Terms. TakeFirst remains responsible where liability cannot lawfully be excluded, including liability for intentional misconduct, gross negligence, personal injury caused by our fault, and mandatory consumer protections.

Nothing in these Terms excludes or restricts rights granted to consumers by mandatory Lithuanian or EU law.

11. Suspension, deletion, and changes

You may stop using TakeFirst and delete your buyer account at any time. Account deletion does not cancel an already confirmed order, erase obligations that must survive, or require removal of transaction records that must be retained by law.

We may restrict or suspend access where reasonably necessary to protect users, Sellers, payments, or the service; investigate suspected fraud or material breach; comply with law; or address security risk. Where appropriate, we will provide notice and an opportunity to clarify the issue.

We may update these Terms for legal, security, operational, or service changes. The new effective date will be shown above. If a material change requires renewed acceptance, we will request it before you continue with affected functionality. The Terms accepted when an order was placed continue to govern that order unless mandatory law provides otherwise.

12. Governing law and consumer disputes

These Terms are governed by the laws of the Republic of Lithuania, without depriving an EU/EEA consumer of mandatory protections available under the law of their habitual residence. The courts determined by applicable procedural and consumer law have jurisdiction.

Please first send a written complaint to info@takefirst.lt, stating the order reference, facts, and requested remedy. We will consider consumer complaints free of charge and respond within the period required by Lithuanian law.

If we do not resolve the matter, eligible consumers may apply to the Lithuanian State Consumer Rights Protection Authority (VVTAT), A. Goštauto g. 12, LT-01108 Vilnius, Lithuania, including through its Consumer Rights Information System. See VVTAT’s request instructions. You may also use another competent dispute-resolution body or court where applicable.
